1. Introduction and Acceptance

Welcome to Legal Mate. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Yair Tech Ltd ("Legal Mate", "we", "us", "our"), a company registered in England and Wales.

By accessing or using Legal Mate's AI-powered legal case analysis platform ("Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Service.

If you are using the Service on behalf of a law firm or other organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

2. Service Description

Legal Mate provides an AI-powered platform for legal professionals to:

  • Analyse Financial Ombudsman Service (FOS) complaints and other legal cases
  • Process and extract data from bank statements and financial documents (DSAR)
  • Search and match cases against legal precedent databases
  • Generate AI-assisted case analysis, reports, and recommendations
  • Conduct conversational AI-driven case intake

Important Notice

Legal Mate is a decision-support tool designed to assist qualified legal professionals. It does not provide legal advice, and all AI-generated analysis should be reviewed and verified by a qualified solicitor or barrister before relying upon it. Legal Mate does not replace professional legal judgment.

3. Eligibility

To use Legal Mate, you must:

  • Be at least 18 years of age
  • Be a legal professional, law firm employee, or authorised representative
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using the Service under applicable laws
  • Provide accurate and complete registration information

4. Account Registration and Security

To access the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Not share your account credentials with others
  • Notify us immediately of any unauthorised access to your account
  • Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in suspicious activity.

5. Acceptable Use Policy

You agree to use Legal Mate only for lawful purposes. You must not:

  • Use the Service for any unlawful or fraudulent purpose
  • Upload content that is illegal, defamatory, or infringes third-party rights
  • Attempt to gain unauthorised access to other accounts or systems
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or attempt to extract source code
  • Use automated systems (bots, scrapers) without permission
  • Transmit viruses, malware, or other harmful code
  • Circumvent usage limits or billing mechanisms
  • Resell or redistribute the Service without authorisation

5.2 Data Responsibilities

  • You are responsible for ensuring you have lawful authority to upload client data
  • You must comply with client confidentiality and professional conduct rules
  • You must obtain necessary consents before processing personal data through the Service
  • You remain the data controller for your client data; Legal Mate acts as data processor

6. Subscription and Payment

6.1 Subscription Plans

Legal Mate offers various subscription tiers (Starter, Pro, Enterprise) with different features and usage limits. Current pricing and plan details are available on our website.

6.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis
  • All fees are quoted and payable in British Pounds (GBP)
  • Fees are exclusive of VAT, which will be added where applicable
  • Payment is processed securely through Stripe

6.3 Refunds

We offer a 14-day money-back guarantee for new subscribers. After this period, subscription fees are non-refundable except where required by law. If you cancel, you retain access until the end of your current billing period.

6.4 Price Changes

We may change our prices with 30 days' notice. Price changes will apply from your next billing cycle. Continued use after a price change constitutes acceptance of the new pricing.

7. Free Trial

We may offer a free trial period for new users. During the trial:

  • You have access to specified features with usage limits
  • No payment information is required until you subscribe
  • We may limit trial access to one per organisation
  • Trial terms may be modified or discontinued at our discretion

8. Intellectual Property Rights

8.1 Our Intellectual Property

Legal Mate, including its software, algorithms, design, branding, documentation, and all related intellectual property, is owned by Yair Tech Ltd or its licensors. We grant you a limited, non-exclusive, non-transferable licence to use the Service during your subscription.

8.2 Your Content

You retain ownership of all data and content you upload to Legal Mate ("Your Content"). By uploading content, you grant us a limited licence to process, store, and analyse Your Content solely to provide the Service. We do not claim ownership of Your Content.

8.3 AI-Generated Output

Analysis, reports, and other output generated by our AI based on Your Content are provided for your use. You may use this output in your professional work, subject to your obligation to verify its accuracy and applicability.

9. Confidentiality

We understand that you process sensitive and confidential client information. We commit to:

  • Treating all client data as confidential
  • Not disclosing Your Content to third parties except as required to provide the Service
  • Implementing appropriate security measures (see our Privacy Policy)
  • Ensuring our staff and sub-processors are bound by confidentiality obligations

Notwithstanding the above, we may disclose information if required by law, court order, or regulatory authority.

10. Data Protection

Our processing of personal data is governed by our Privacy Policy, which forms part of these Terms.

Where we process personal data on your behalf as a data processor, we will:

  • Process data only on your documented instructions
  • Ensure personnel are bound by confidentiality
  • Implement appropriate security measures
  • Only use approved sub-processors
  • Assist with data subject requests and compliance obligations
  • Delete or return data upon termination

11. Service Availability and Support

11.1 Availability

We aim to provide 99.5% uptime but do not guarantee uninterrupted access. The Service may be unavailable during:

  • Scheduled maintenance (with reasonable advance notice)
  • Emergency maintenance for security or stability
  • Events beyond our reasonable control

11.2 Support

Support is provided via email during business hours. Response times and support levels vary by subscription tier. Enterprise customers may have access to dedicated support.

12. Disclaimers

12.1 No Legal Advice

LEGAL MATE DOES NOT PROVIDE LEGAL ADVICE. The Service is a technology tool to assist legal professionals in their work. All AI-generated analysis, recommendations, and output are for informational purposes only and must be independently verified. You remain solely responsible for all legal advice given to your clients.

12.2 AI Limitations

Our AI systems, while sophisticated, may produce inaccurate, incomplete, or outdated information. AI analysis should be treated as a starting point, not a definitive answer. We do not guarantee the accuracy, completeness, or suitability of AI-generated content for any particular purpose.

12.3 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability

13.1 Exclusions

To the maximum extent permitted by law, Legal Mate shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from reliance on AI-generated analysis
  • Actions or omissions of third-party service providers
  • Service interruptions or data loss

13.2 Cap on Liability

Our total aggregate liability for any claims arising from or related to these Terms or the Service shall not exceed the greater of: (a) the fees paid by you in the 12 months preceding the claim, or (b) £500.

13.3 Exceptions

Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, or (c) any other liability that cannot be excluded by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Legal Mate, its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) any claims by your clients related to advice based on Service output.

15. Termination

15.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.

15.2 Termination by Us

We may suspend or terminate your access immediately if you:

  • Breach these Terms
  • Fail to pay fees when due
  • Engage in fraudulent or illegal activity
  • Act in a way that harms other users or our reputation

15.3 Effect of Termination

Upon termination: (a) your right to use the Service ends immediately, (b) you must pay any outstanding fees, (c) we will delete your data in accordance with our Privacy Policy (typically within 30 days), and (d) provisions that by their nature should survive will continue in effect.

16. Changes to Terms

We may modify these Terms from time to time. We will notify you of material changes by:

  • Email to your registered address
  • Notice within the Service
  • Updating the "Last updated" date above

Material changes take effect 30 days after notice. Continued use after changes constitutes acceptance. If you disagree with changes, you may terminate your account before they take effect.

17. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales.

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. However, we may seek injunctive relief in any jurisdiction to protect our intellectual property rights.

18. Dispute Resolution

Before initiating legal proceedings, you agree to attempt to resolve disputes informally by contacting us at legal@legal-mate.ai. We will try to resolve the matter within 30 days.

If informal resolution fails, either party may pursue formal dispute resolution. Nothing in this section prevents either party from seeking urgent injunctive relief.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any order forms, constitute the entire agreement between you and Legal Mate regarding the Service.

19.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

19.3 Waiver

Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

19.4 Assignment

You may not assign these Terms without our prior written consent. We may assign our rights and obligations to any successor or acquirer.

19.5 Force Majeure

Neither party shall be liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, terrorism, strikes, or government actions.
